(Legal) The Grantee hereby expressly acknowledges and agrees that the Foundation is transferring to the Grantee, and the Grantee accepts, ownership only of the physical work of art described in the Agreement (the "Work") and that such ownership does not convey to the Grantee, and the Foundation expressly reserves and retains, all copyright, publication and reproduction rights except only for (a) the right to reproduce the Work to viewers present at the place where the Work is located and (b) the right to reproduce the Work only (i) in a catalogue or in a general publication relating to an exhibit of the Work of the Grantee's collection, (ii) in transparency or digital form for educational purposes, and (iii) with the prior written consent of the Foundation, which is not to be unreasonably withheld, in poster form for publicity purposes, provided that no such transparency, digital file, poster or copies thereof shall ever be made available for sale without prior written consent of the Foundation, which may be withheld in its absolute discretion. In the event that the Grantee ever lends or deaccessions the Work, the Grantee shall take all steps necessary to ensure that the foundation's copyright to the Work is protected and shall inform all borrowers, purchasers or donees that the Foundation has retained all rights not specifically conveyed to the Grantee and that the borrower, purchaser or donee is subject to the limitations set forth in the agreement to the Grantee. |
